Terms of Service

This document constitutes a legally binding agreement ("Terms") between you ("Licensee" or "you") and Calq Framework ("we," or "us") governing your purchase of a subscription for a commercial software license.

By completing the purchase process, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. License Subscriptions and Scope

We provide subscriptions that grant you a commercial license to use one or more of our software products (each, a "Software"). The specific Software, usage limitations, fees, and subscription term for your license are specified on the relevant product page and/or at the time of your purchase (the "Purchase Details").

These Terms govern the purchase, billing, and cancellation of your subscription. The specific rights and conditions for using the Software are detailed in the License Agreement that accompanies the Software. In the event of a conflict between these Terms and your Purchase Details, the Purchase Details shall control.

2. Payments and Renewals

Billing: All payments are processed through our third-party payment processor, Stripe, Inc. By providing a payment method, you authorize us to charge you on a recurring basis for the subscription fee, plus any applicable taxes.

Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle (e.g., monthly or annually) unless you cancel it. You authorize us to charge your payment method for the renewal term.

Price Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any price changes. Your continued use of the service after a price change takes effect constitutes your agreement to pay the modified fee.

No Refunds: All fees are non-refundable. We do not provide refunds or credits for any partial subscription periods or unused services.

3. Cancellation and Termination

You may cancel your subscription at any time. The cancellation will take effect at the end of your current paid billing period. You will continue to have access to the benefits of your commercial license through the end of that period.

Upon the termination or expiration of your subscription, your right to use the Software under the commercial License Agreement ceases immediately. You must then either delete all copies of the Software or ensure your continued use complies with the terms of any alternative license under which the Software may be available.

We reserve the right to terminate your subscription and license immediately if you breach these Terms or the accompanying License Agreement.

4. No User Accounts

We do not create or maintain user accounts on our systems. Your subscription is managed and identified through the email address and payment information you provide to our payment processor.

5. Disclaimer of Warranties

THE SOFTWARE AND THE SUBSCRIPTION SERVICE ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

6. Limitation of Liability

IN NO EVENT SHALL THE CALQ FRAMEWORK, ITS OWNERS, OR DIRECTORS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE. OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM YOUR SUBSCRIPTION SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.

8. Changes to These Terms

We may modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. You are advised to review these Terms periodically for any changes. Changes to these Terms are effective when they are posted on this page.
